NAME - IMAGE - LIKENESS AGREEMENT

This document will enact a contractual agreement between the Student Athlete and Live to 100, LLC. related to Name, Image, and Likeness services. 

 

1. Term.  This agreement shall be effective as of the date completed, signed, and submitted the Student Athlete.

 

Services:  

 

1.    The Contractor

• Live To 100, LLC. will work in the best interests of the Student Athlete to provide paid endorsement opportunities.  

• Endorsement opportunities may include, but are not limited to: Brand promotion, marketing, billboard advertising, videos, pictures, social media postings, community events, activities, camps, speaking engagement, and signings.

 

2.    The Student Athlete 

 

• Agree to keep all company proprietary information related to Live To 100, LLC. confidential. 

• Availability and schedule permitting Student Athlete agrees to participate in all activities including, but not limited to; in person and or virtual brand promotion, marketing, billboard advertising, videos, pictures, social media postings, community events, activities, camps, speaking engagement, paid endorsements.  

• Student Athlete agrees that Live To 100 may not be used to secure, endorse, and or promote other brands, companies, businesses or individual(s) that have not been formally contracted to do business with Live To 100.

• Will represent themselves and Live To 100 to the best of their ability at all times.

 

 

3.    Compensation.  The compensation agreement between the Contractor, Live To 100, LLC. and the Student Athlete is as follows:

• The Student Athlete will receive a #LT100Fam Welcome Package shortly after the of this agreement.  

• The Student Athlete will receive 25% commission of all Live To 100 merchandise purchased using his/her personalize promo code. 

• Student Athlete will receive an email notification each time a purchase is made using his/her personalized promo code.  

• Compensation related to the merchandise (aforementioned) will be paid to the Student Athlete bi-weekly on the 15th and last day of each month.

• If either party terminates this agreement, the agreed upon percentage for merchandise purchased using his/her personal promo code will be paid to the Student Athlete through the last date before termination.  

• If this agreement is terminated by either party the code will be made inactive and will be no longer accepted on any of Live To 100, LLC. selling platforms.

 

 

Compliance with Laws:  Both parties shall comply with all applicable NIL federal, state, and local statutes, rules, regulations, or ordinances regarding the performance of its activities under this agreement.  

 

Confidential Nature of this Relationship:  This relationship will create an exchange of information, written and oral, between the parties, including data, documents, surveys, concepts, drafts, other relationships, strategies, and tactics; no disclosure of any such information by the Student Athlete without the express consent of the Contractor is prohibited.

 

Endorsement:  During the term of this agreement, the Live To 100 shall not be considered an employer or an agent of the Student Athlete.  However, Live To 100, LLC. shall supervise the performance of all services and shall inform the Student Athlete of NIL opportunities.

 

• This agreement shall be governed by and construed in accordance with all State and Federal NIL laws.

 

• Entire Agreement.  This is the entire agreement of the parties.  There are no other representations, understandings or agreements, oral or written, express or implied, which are not contained herein. 

 

• Termination Notice. Either party may terminate this Agreement upon 30 days written notice.

 

 If the terms are acceptable, please sign and return to us for our files.  This agreement will then be appropriately executed.
